Terms of Service

Effective Date: March 22, 2026

Welcome to FactuGO. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and FactuGO ("Company," "we," "us," or "our") governing your access to and use of the FactuGO mobile application and related services (collectively, the "Service").

By downloading, installing, or using FactuGO, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use FactuGO. By using the Service, you represent and warrant that you meet these requirements.

2. Account Registration

To use FactuGO, you must create an account by providing accurate and complete information, including your name, email address, and business details. You are responsible for:

Maintaining the confidentiality of your login credentials.
All activities that occur under your account.
Keeping your account information accurate and up to date.
Notifying us immediately of any unauthorized use of your account.

3. Description of Service

FactuGO is a mobile invoicing application designed for freelancers and small businesses. The Service enables you to:

Create, send, and manage professional invoices and estimates.
Manage clients, products, and business profiles.
Collect payments through integrated payment processors.
Collaborate with team members on business operations.
Track payment status and transaction history.
Generate and share documents such as receipts.

The Service is intended for business and professional use only, not for personal or household purposes.

4. Subscriptions and Billing

FactuGO may offer free and paid subscription plans. Paid subscriptions are billed through Apple's App Store and are subject to Apple's payment terms.

Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled at least 24 hours before the renewal date.
Cancellation: You may cancel your subscription at any time through your Apple ID account settings. Cancellation takes effect at the end of the current billing period.
Refunds: Refund requests are handled by Apple in accordance with their refund policies.
Free Trials: If offered, free trials automatically convert to paid subscriptions unless cancelled before the trial period ends.
Seat-Based Add-Ons: Collaborator seats are billed separately and may be managed through your subscription settings.

5. Payment Processing

FactuGO integrates with third-party payment processors, including Stripe and PayPal, to enable payment collection. By using these features:

You agree to the respective terms and privacy policies of the payment processor(s) you use.
You are responsible for the accuracy of payment information and the legitimacy of transactions.
FactuGO is not a payment processor and does not hold, transfer, or manage your funds directly.
You are solely responsible for complying with all applicable laws regarding payment collection, including tax obligations.
Chargebacks, disputes, and refunds are governed by the payment processor's policies. You are responsible for any fees or obligations arising from such events.

6. User Responsibilities

You agree that you will:

Use the Service in compliance with all applicable local, state, federal, and international laws and regulations.
Obtain all necessary rights, permissions, and consents for any data you submit or process through the Service.
Ensure that invoices and financial documents you create comply with applicable tax and accounting regulations in your jurisdiction.
Maintain your own backups of important data.

7. Prohibited Uses

You agree not to:

Use the Service for any illegal, fraudulent, or unauthorized purpose.
Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service.
Rent, lease, sublicense, sell, or redistribute access to the Service.
Transmit viruses, malware, or any harmful code through the Service.
Interfere with or disrupt the integrity or performance of the Service.
Attempt to gain unauthorized access to the Service or its related systems.
Use the Service to send spam or unsolicited communications.
Submit protected health information, social security numbers, or other highly sensitive personal data not required for invoicing.
Use the Service in connection with any prohibited business activity as defined by our payment processing partners.

8. Your Data

You retain all rights to the data you submit through FactuGO ("User Data"), including invoices, client information, products, and business details.

You grant FactuGO a limited, non-exclusive license to use, store, process, and transmit your User Data solely for the purpose of providing and improving the Service.
You are solely responsible for maintaining backups of your User Data. While we implement reasonable measures to protect your data, we are not liable for data loss.
We may generate anonymized, aggregate data from usage patterns for analytics, product improvement, and reporting purposes. This aggregate data does not identify individual users.

9. Team and Collaboration

FactuGO offers team collaboration features that allow business owners to invite collaborators to their business profiles.

The business owner is responsible for managing team access and permissions.
Collaborators access data in accordance with their assigned roles (editor, viewer).
The business owner may revoke access at any time.
Seat-based pricing applies to collaborator features as described in the applicable subscription plan.

10. Intellectual Property

FactuGO and all associated intellectual property rights, including software, design, trademarks, and content, are owned by FactuGO or its licensors. Your use of the Service grants you a limited, non-exclusive, non-transferable, revocable license to use the application for its intended purpose.

You may not copy, modify, distribute, or create derivative works based on the Service or any part thereof without our prior written consent.

If you provide feedback, suggestions, or ideas regarding the Service, you grant us a royalty-free, worldwide, perpetual license to use and incorporate such feedback without restriction or compensation.

11. Third-Party Services

FactuGO integrates with third-party services including, but not limited to, payment processors, cloud infrastructure providers, email delivery services, and analytics tools. These third-party services operate under their own terms and privacy policies. FactuGO is not responsible for the availability, security, or practices of any third-party service.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

FACTUGO DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. FACTUGO DOES NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT OR DATA GENERATED THROUGH THE SERVICE.

FACTUGO EXPRESSLY DISCLAIMS ANY WARRANTY THAT USE OF THE SERVICE WILL ENSURE YOUR COMPLIANCE WITH ANY ACCOUNTING STANDARDS, TAX OBLIGATIONS, OR LEGAL OR REGULATORY REQUIREMENTS. YOU ARE SOLELY RESPONSIBLE FOR ENSURING THAT YOUR USE OF THE SERVICE MEETS YOUR LEGAL AND REGULATORY OBLIGATIONS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FACTUGO, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

FACTUGO'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO FACTUGO IN THE SIX (6) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED US DOLLARS (US $100).

You acknowledge that these limitations reflect a reasonable allocation of risk and are a fundamental part of these Terms.

14. Indemnification

You agree to indemnify, defend, and hold harmless FactuGO and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

Your use of the Service or any violation of these Terms.
Any User Data you submit through the Service.
Your violation of any applicable law or regulation.
Any dispute between you and a third party, including your clients or payment recipients.

15. Termination

By You: You may stop using the Service at any time and delete your account through the app settings or by contacting us.
By Us: We may suspend or terminate your access to the Service at any time, with or without cause, including for violation of these Terms.
Effect of Termination: Upon termination, your right to use the Service ceases immediately. We may delete your User Data after a reasonable retention period following termination, unless retention is required by law.
Survival: Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, and governing law survive termination.

16. Account Deletion

You may request deletion of your account and associated data at any time through the app or by contacting us at support@fctg.app. Upon account deletion:

Your local data will be permanently removed from the device.
Your data stored on our servers will be deleted in accordance with our data retention obligations.
Any active subscriptions must be cancelled separately through the App Store.

17. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you through the app or by email. Your continued use of the Service after such notification constitutes acceptance of the modified Terms. If you do not agree with the changes, you must stop using the Service.

18. Apple App Store Terms

If you downloaded FactuGO from Apple's App Store, the following additional terms apply:

These Terms are between you and FactuGO, not Apple. Apple is not responsible for the Service or its content.
Apple has no obligation to provide maintenance or support services for the Service.
In the event the Service fails to conform to any applicable warranty, Apple's sole obligation is to refund the purchase price (if any) to you.
Apple is not responsible for addressing any claims related to the Service, including product liability, regulatory compliance, or intellectual property infringement.
Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

19. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions.

Subject to the arbitration provisions below, any dispute arising from these Terms shall be resolved in the federal or state courts located in the State of Delaware, and you consent to the exclusive jurisdiction and venue of such courts.

20. Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

You and FactuGO agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding individual arbitration, rather than in court, except that either party may bring claims in small claims court if eligible.

Pre-Arbitration: Before initiating arbitration, you agree to contact us at support@fctg.app and attempt to resolve the dispute through good-faith negotiation for at least thirty (30) days.
Arbitration Rules: Arbitration shall be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules.
Individual Basis Only: All disputes must be brought in your individual capacity. You waive any right to participate in a class action, collective action, or representative proceeding.
Jury Trial Waiver: By agreeing to arbitration, you waive your right to a jury trial.
Opt-Out: You may opt out of this arbitration provision by sending written notice to support@fctg.app within thirty (30) days of first accepting these Terms.
Exceptions: Claims relating to intellectual property infringement and applications for injunctive relief are excluded from mandatory arbitration.

21. U.S. State-Specific Provisions

California Residents: Under California Civil Code Section 1789.3, California users are entitled to the following consumer rights notice: you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.

Export Compliance: You agree to comply with all applicable U.S. export control laws and regulations. You represent that you are not located in a country subject to a U.S. Government embargo, and that you are not listed on any U.S. Government list of prohibited or restricted parties.

22. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and FactuGO regarding the Service.
Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights freely.
Force Majeure: FactuGO shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, pandemics, war, government actions, or internet/utility failures.

Bienvenido a FactuGO. Estos Terminos y Condiciones ("Terminos") constituyen un acuerdo legalmente vinculante entre usted ("Usuario," "usted" o "su") y FactuGO ("Empresa," "nosotros," "nos" o "nuestro") que rige su acceso y uso de la aplicacion movil FactuGO y los servicios relacionados (colectivamente, el "Servicio").

Al descargar, instalar o utilizar FactuGO, usted acepta estar sujeto a estos Terminos. Si no esta de acuerdo, no utilice el Servicio.

1. Elegibilidad

Debe tener al menos 18 anos de edad y capacidad legal para celebrar un acuerdo vinculante para utilizar FactuGO. Al usar el Servicio, usted declara y garantiza que cumple con estos requisitos.

2. Registro de Cuenta

Para utilizar FactuGO, debe crear una cuenta proporcionando informacion precisa y completa, incluyendo su nombre, direccion de correo electronico y datos comerciales. Usted es responsable de:

Mantener la confidencialidad de sus credenciales de acceso.
Todas las actividades que ocurran bajo su cuenta.
Mantener la informacion de su cuenta precisa y actualizada.
Notificarnos inmediatamente sobre cualquier uso no autorizado de su cuenta.

3. Descripcion del Servicio

FactuGO es una aplicacion movil de facturacion disenada para freelancers y pequenas empresas. El Servicio le permite:

Crear, enviar y gestionar facturas y cotizaciones profesionales.
Gestionar clientes, productos y perfiles comerciales.
Cobrar pagos a traves de procesadores de pago integrados.
Colaborar con miembros del equipo en operaciones comerciales.
Dar seguimiento al estado de pagos e historial de transacciones.
Generar y compartir documentos como recibos.

El Servicio esta destinado exclusivamente para uso comercial y profesional, no para uso personal o domestico.

4. Suscripciones y Facturacion

FactuGO puede ofrecer planes de suscripcion gratuitos y de pago. Las suscripciones de pago se facturan a traves del App Store de Apple y estan sujetas a los terminos de pago de Apple.

Renovacion Automatica: Las suscripciones se renuevan automaticamente al final de cada periodo de facturacion, a menos que se cancelen al menos 24 horas antes de la fecha de renovacion.
Cancelacion: Puede cancelar su suscripcion en cualquier momento a traves de la configuracion de su Apple ID. La cancelacion entra en vigor al final del periodo de facturacion actual.
Reembolsos: Las solicitudes de reembolso son gestionadas por Apple de acuerdo con sus politicas de reembolso.
Pruebas Gratuitas: Si se ofrecen, las pruebas gratuitas se convierten automaticamente en suscripciones de pago a menos que se cancelen antes de que finalice el periodo de prueba.
Complementos por Asientos: Los asientos para colaboradores se facturan por separado y pueden gestionarse a traves de la configuracion de su suscripcion.

5. Procesamiento de Pagos

FactuGO se integra con procesadores de pago de terceros, incluyendo Stripe y PayPal, para permitir el cobro de pagos. Al utilizar estas funciones:

Usted acepta los terminos y politicas de privacidad respectivos del procesador de pagos que utilice.
Usted es responsable de la exactitud de la informacion de pago y la legitimidad de las transacciones.
FactuGO no es un procesador de pagos y no retiene, transfiere ni gestiona sus fondos directamente.
Usted es el unico responsable de cumplir con todas las leyes aplicables respecto al cobro de pagos, incluyendo obligaciones fiscales.
Los contracargos, disputas y reembolsos se rigen por las politicas del procesador de pagos. Usted es responsable de cualquier cargo u obligacion que surja de dichos eventos.

6. Responsabilidades del Usuario

Usted acepta que:

Utilizara el Servicio en cumplimiento con todas las leyes y regulaciones locales, nacionales e internacionales aplicables.
Obtendra todos los derechos, permisos y consentimientos necesarios para cualquier dato que envie o procese a traves del Servicio.
Se asegurara de que las facturas y documentos financieros que cree cumplan con las regulaciones fiscales y contables aplicables en su jurisdiccion.
Mantendra sus propias copias de seguridad de datos importantes.

7. Usos Prohibidos

Usted acepta no:

Usar el Servicio para cualquier proposito ilegal, fraudulento o no autorizado.
Realizar ingenieria inversa, descompilar, desensamblar o intentar derivar el codigo fuente del Servicio.
Alquilar, arrendar, sublicenciar, vender o redistribuir el acceso al Servicio.
Transmitir virus, malware o cualquier codigo danino a traves del Servicio.
Interferir con o interrumpir la integridad o el rendimiento del Servicio.
Intentar obtener acceso no autorizado al Servicio o sus sistemas relacionados.
Usar el Servicio para enviar spam o comunicaciones no solicitadas.
Enviar informacion de salud protegida, numeros de cedula u otros datos personales altamente sensibles no requeridos para la facturacion.
Usar el Servicio en conexion con cualquier actividad comercial prohibida segun lo definido por nuestros socios de procesamiento de pagos.

8. Sus Datos

Usted conserva todos los derechos sobre los datos que envie a traves de FactuGO ("Datos del Usuario"), incluyendo facturas, informacion de clientes, productos y detalles comerciales.

Usted otorga a FactuGO una licencia limitada y no exclusiva para usar, almacenar, procesar y transmitir sus Datos del Usuario unicamente con el proposito de proporcionar y mejorar el Servicio.
Usted es el unico responsable de mantener copias de seguridad de sus Datos del Usuario. Si bien implementamos medidas razonables para proteger sus datos, no somos responsables de la perdida de datos.
Podemos generar datos anonimos y agregados a partir de patrones de uso con fines de analisis, mejora del producto e informes. Estos datos agregados no identifican a usuarios individuales.

9. Equipo y Colaboracion

FactuGO ofrece funciones de colaboracion en equipo que permiten a los propietarios de negocios invitar colaboradores a sus perfiles comerciales.

El propietario del negocio es responsable de gestionar el acceso y los permisos del equipo.
Los colaboradores acceden a los datos de acuerdo con sus roles asignados (editor, visualizador).
El propietario del negocio puede revocar el acceso en cualquier momento.
Los precios basados en asientos aplican a las funciones de colaborador segun se describe en el plan de suscripcion correspondiente.

10. Propiedad Intelectual

FactuGO y todos los derechos de propiedad intelectual asociados, incluyendo software, diseno, marcas registradas y contenido, son propiedad de FactuGO o sus licenciantes. Su uso del Servicio le otorga una licencia limitada, no exclusiva, intransferible y revocable para usar la aplicacion para su proposito previsto.

No puede copiar, modificar, distribuir o crear obras derivadas basadas en el Servicio o cualquier parte del mismo sin nuestro consentimiento previo por escrito.

Si proporciona comentarios, sugerencias o ideas sobre el Servicio, nos otorga una licencia mundial, libre de regalias y perpetua para usar e incorporar dicha retroalimentacion sin restriccion ni compensacion.

11. Servicios de Terceros

FactuGO se integra con servicios de terceros que incluyen, entre otros, procesadores de pago, proveedores de infraestructura en la nube, servicios de entrega de correo electronico y herramientas de analisis. Estos servicios de terceros operan bajo sus propios terminos y politicas de privacidad. FactuGO no es responsable de la disponibilidad, seguridad o practicas de ningun servicio de terceros.

12. Exencion de Garantias

EL SERVICIO SE PROPORCIONA "TAL CUAL" Y "SEGUN DISPONIBILIDAD" SIN GARANTIAS DE NINGUN TIPO, YA SEAN EXPRESAS, IMPLICITAS O ESTATUTARIAS, INCLUYENDO PERO NO LIMITANDOSE A GARANTIAS DE COMERCIABILIDAD, IDONEIDAD PARA UN PROPOSITO PARTICULAR, TITULO Y NO INFRACCION.

FACTUGO NO GARANTIZA QUE EL SERVICIO SERA ININTERRUMPIDO, LIBRE DE ERRORES, SEGURO O LIBRE DE VIRUS U OTROS COMPONENTES DANINOS. FACTUGO NO GARANTIZA LA EXACTITUD, INTEGRIDAD O FIABILIDAD DE NINGUN CONTENIDO O DATO GENERADO A TRAVES DEL SERVICIO.

FACTUGO RENUNCIA EXPRESAMENTE A CUALQUIER GARANTIA DE QUE EL USO DEL SERVICIO ASEGURARA SU CUMPLIMIENTO CON NORMAS CONTABLES, OBLIGACIONES FISCALES O REQUISITOS LEGALES O REGULATORIOS. USTED ES EL UNICO RESPONSABLE DE GARANTIZAR QUE SU USO DEL SERVICIO CUMPLA CON SUS OBLIGACIONES LEGALES Y REGULATORIAS.

13. Limitacion de Responsabilidad

EN LA MAXIMA MEDIDA PERMITIDA POR LA LEY APLICABLE, EN NINGUN CASO FACTUGO, SUS AFILIADOS, FUNCIONARIOS, DIRECTORES, EMPLEADOS O AGENTES SERAN RESPONSABLES DE DANOS INDIRECTOS, INCIDENTALES, ESPECIALES, CONSECUENTES O PUNITIVOS, INCLUYENDO PERO NO LIMITANDOSE A PERDIDA DE GANANCIAS, DATOS, USO, BUENA VOLUNTAD U OTRAS PERDIDAS INTANGIBLES, DERIVADAS DE O EN CONEXION CON SU USO DEL SERVICIO.

LA RESPONSABILIDAD TOTAL AGREGADA DE FACTUGO POR TODAS LAS RECLAMACIONES DERIVADAS DE O RELACIONADAS CON ESTOS TERMINOS O EL SERVICIO NO EXCEDERA EL MAYOR DE (A) EL MONTO PAGADO POR USTED A FACTUGO EN LOS SEIS (6) MESES ANTERIORES A LA RECLAMACION O (B) CIEN DOLARES ESTADOUNIDENSES (US $100).

Usted reconoce que estas limitaciones reflejan una asignacion razonable del riesgo y son una parte fundamental de estos Terminos.

14. Indemnizacion

Usted acepta indemnizar, defender y mantener indemne a FactuGO y sus afiliados, funcionarios, directores, empleados y agentes de y contra cualquier reclamacion, dano, perdida, responsabilidad, costo y gasto (incluyendo honorarios razonables de abogados) que surjan de o en conexion con:

Su uso del Servicio o cualquier violacion de estos Terminos.
Cualquier Dato del Usuario que envie a traves del Servicio.
Su violacion de cualquier ley o regulacion aplicable.
Cualquier disputa entre usted y un tercero, incluyendo sus clientes o destinatarios de pagos.

15. Terminacion

Por Usted: Puede dejar de usar el Servicio en cualquier momento y eliminar su cuenta a traves de la configuracion de la aplicacion o contactandonos.
Por Nosotros: Podemos suspender o terminar su acceso al Servicio en cualquier momento, con o sin causa, incluyendo por violacion de estos Terminos.
Efecto de la Terminacion: Al terminar, su derecho a usar el Servicio cesa inmediatamente. Podemos eliminar sus Datos del Usuario despues de un periodo de retencion razonable posterior a la terminacion, a menos que la retencion sea requerida por ley.
Supervivencia: Las secciones relativas a propiedad intelectual, exenciones, limitacion de responsabilidad, indemnizacion y ley aplicable sobreviven a la terminacion.

16. Eliminacion de Cuenta

Puede solicitar la eliminacion de su cuenta y datos asociados en cualquier momento a traves de la aplicacion o contactandonos en support@fctg.app. Al eliminar la cuenta:

Sus datos locales seran eliminados permanentemente del dispositivo.
Sus datos almacenados en nuestros servidores seran eliminados de acuerdo con nuestras obligaciones de retencion de datos.
Cualquier suscripcion activa debe cancelarse por separado a traves del App Store.

17. Modificaciones a los Terminos

Nos reservamos el derecho de modificar estos Terminos en cualquier momento. Si realizamos cambios materiales, le notificaremos a traves de la aplicacion o por correo electronico. Su uso continuado del Servicio despues de dicha notificacion constituye la aceptacion de los Terminos modificados. Si no esta de acuerdo con los cambios, debe dejar de usar el Servicio.

18. Terminos del App Store de Apple

Si descargo FactuGO del App Store de Apple, se aplican los siguientes terminos adicionales:

Estos Terminos son entre usted y FactuGO, no Apple. Apple no es responsable del Servicio ni de su contenido.
Apple no tiene obligacion de proporcionar servicios de mantenimiento o soporte para el Servicio.
En caso de que el Servicio no se ajuste a cualquier garantia aplicable, la unica obligacion de Apple es reembolsar el precio de compra (si corresponde) a usted.
Apple no es responsable de atender reclamaciones relacionadas con el Servicio, incluyendo responsabilidad del producto, cumplimiento regulatorio o infraccion de propiedad intelectual.
Apple y sus subsidiarias son terceros beneficiarios de estos Terminos y pueden hacerlos cumplir contra usted.

19. Ley Aplicable

Estos Terminos se regiran e interpretaran de acuerdo con las leyes de la Republica Dominicana, sin tener en cuenta sus disposiciones sobre conflictos de leyes.

Cualquier disputa que surja de o este relacionada con estos Terminos o el Servicio sera sometida a la jurisdiccion exclusiva de los tribunales competentes de la Republica Dominicana, ubicados en el Distrito Nacional, Santo Domingo.

Antes de iniciar cualquier procedimiento legal, ambas partes acuerdan intentar resolver las disputas mediante negociacion de buena fe por un periodo no menor a treinta (30) dias.

20. Proteccion al Consumidor

Nada en estos Terminos limitara los derechos que usted pueda tener bajo la Ley General de Proteccion de los Derechos del Consumidor o Usuario (Ley No. 358-05) de la Republica Dominicana, en la medida que sea aplicable. Cuando alguna disposicion de estos Terminos entre en conflicto con derechos obligatorios de proteccion al consumidor bajo la ley dominicana, prevaleceran las disposiciones de proteccion al consumidor.

21. Disposiciones Generales

Acuerdo Completo: Estos Terminos, junto con nuestra Politica de Privacidad, constituyen el acuerdo completo entre usted y FactuGO con respecto al Servicio.
Divisibilidad: Si alguna disposicion de estos Terminos se considera invalida o inaplicable, las disposiciones restantes continuaran en pleno vigor y efecto.
Renuncia: Nuestra falta de aplicacion de cualquier disposicion de estos Terminos no constituye una renuncia a dicha disposicion.
Cesion: No puede ceder ni transferir sus derechos bajo estos Terminos sin nuestro consentimiento previo por escrito. Nosotros podemos ceder nuestros derechos libremente.
Fuerza Mayor: FactuGO no sera responsable de ningun incumplimiento o retraso en el desempeno debido a circunstancias fuera de nuestro control razonable, incluyendo desastres naturales, pandemias, guerras, acciones gubernamentales o fallas de internet/servicios publicos.
